Terms and Conditions

These General Terms and Conditions ("Terms") govern all orders, deliveries, and services provided by Pale Blue di Haroon Ikhlaq ("Seller", "we") to purchasers ("Buyer", "you"). Where the Buyer is a consumer (consumatore) under Art. 3 of the Italian Consumer Code (D.Lgs. 206/2005), mandatory consumer-protection provisions apply in addition to or in place of these Terms. Any deviating terms of the Buyer are not recognised unless expressly agreed in writing by the Seller.

§1

Scope of Application

These Terms apply to all contracts for the supply of goods and services concluded between Pale Blue di Haroon Ikhlaq (sole trader (ditta individuale), VAT IT 12847640013) and the Buyer via this website or by written agreement. They apply to both business customers (imprenditori, Art. 2082 Italian Civil Code) and consumer customers. Where a provision conflicts with a mandatory statutory right of a consumer, the statutory right prevails. These Terms do not affect rights that cannot be excluded or limited under applicable law.

§2

Conclusion of Contract

Product listings on our website constitute an invitation to treat and are not binding offers. A binding contract is formed only upon our written order confirmation or, where earlier, upon dispatch of the goods. Quote requests submitted via our platform are handled individually and do not automatically form a binding contract. We reserve the right to decline orders without giving reasons, in which case any payment received will be refunded in full.

§3

Prices and Payment

Prices are quoted in EUR. For business customers, prices are net excluding VAT; applicable Italian VAT (IVA) is added at checkout. Consumer prices are shown inclusive of VAT where required by law. Payment is due within 14 days of invoice for business customers. For consumer orders, payment is collected at checkout. In the case of late payment, statutory interest accrues pursuant to D.Lgs. 231/2002 (business transactions) or Art. 1284 of the Italian Civil Code (consumer transactions). We accept payment by credit/debit card via Stripe and bank transfer.

§4

Right of Withdrawal (Consumers)

Consumer customers have the right to withdraw from any purchase contract within 14 calendar days of receiving the goods, without giving any reason, pursuant to EU Directive 2011/83/EU and Arts. 52–58 of the Italian Consumer Code (D.Lgs. 206/2005). To exercise this right, notify us at info@roboticsquare.com or via the contact form before the 14-day period expires. We will reimburse all payments received, including standard outbound shipping costs, within 14 days of receiving your withdrawal notice, using the same payment method. Return shipping costs are at the Buyer's expense unless the item is defective. The right of withdrawal does not apply to: (a) goods manufactured to the Buyer's specifications or clearly personalised; (b) goods that may deteriorate or expire rapidly; (c) sealed goods unsealed after delivery that are unsuitable for return for hygiene or health-protection reasons; (d) digital content delivered and commenced with prior consent. Business customers do not have a statutory right of withdrawal.

§5

Delivery and Transfer of Risk

Delivery dates are estimates and non-binding unless explicitly confirmed as fixed in writing. Partial deliveries are permissible where reasonable. Risk passes to the Buyer upon handover of the goods to the carrier. Default delivery terms are FCA (Incoterms® 2020) from our warehouse in Torino, Italy, unless otherwise agreed. Lead times vary by product and destination; we will provide estimated shipping timelines at order confirmation.

§6

International Shipping and Customs

We ship worldwide. For deliveries within the European Union, all applicable taxes are included. For shipments to destinations outside the EU (extra-EU / third countries), the Buyer is solely responsible for all import duties, customs clearance fees, local taxes, and any brokerage charges levied by the destination country. RoboticSquare has no control over these costs and cannot predict them; the Buyer should consult their local customs authority prior to ordering. Goods are exported from Italy under EU export regulations. Delays caused by customs inspection are outside our control and do not constitute a breach of the delivery obligation.

§7

Export Controls and Trade Compliance

Robotics hardware, sensors, and related software may be classified as dual-use goods subject to EU Dual-Use Regulation (EU) 2021/821, Italian export control legislation, and regulations of the destination country. By placing an order, the Buyer confirms that: (a) they are not located in, or acting on behalf of any entity or person in, a country or territory subject to EU, UN, or applicable national trade sanctions; (b) the goods will not be used for prohibited purposes, including the development of weapons of mass destruction; (c) they will comply with all applicable export control and re-export laws. We reserve the right to require end-use certificates and to refuse or cancel orders where export compliance cannot be verified. Violation of export control laws may result in order cancellation and reporting to competent authorities.

§8

Warranty and Conformity

Consumer customers are entitled to a 24-month legal guarantee of conformity from the date of delivery, pursuant to Art. 130 of the Italian Consumer Code (D.Lgs. 206/2005) implementing EU Directive 2019/771. Where a defect appears within 12 months of delivery, it is presumed to have existed at the time of delivery. Remedies are repair, replacement, price reduction, or contract rescission in that order of preference. Business customers receive a 12-month contractual warranty from the date of delivery. Warranty claims must be reported in writing without undue delay upon discovery of the defect. No warranty applies to defects caused by: improper installation or use, unauthorised modifications, physical damage, normal wear and tear, or failure to follow manufacturer guidelines.

§9

Limitation of Liability

We are fully liable for damage caused by intentional acts (dolo) and gross negligence (colpa grave), and for personal injury regardless of fault. For ordinary negligence, liability is limited to direct and foreseeable losses arising from breach of a material contractual obligation. Liability for indirect losses, loss of profit, loss of data, or consequential damages is excluded to the maximum extent permitted by law. Nothing in these Terms limits our liability for death or personal injury, fraud, or any other liability that cannot be excluded under applicable Italian law. These limitations apply equally to consumer and business customers, subject to mandatory consumer-protection provisions.

§10

Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by circumstances beyond that party's reasonable control, including but not limited to: acts of God, war, armed conflict, terrorism, pandemic, government embargo or trade restriction, strike or industrial action, fire, flood, earthquake, supply-chain disruption, or failure of third-party infrastructure. The affected party must notify the other as soon as practicable. If a force majeure event continues for more than 60 days, either party may terminate the affected order with no liability, and any advance payments for undelivered goods will be refunded.

§11

Governing Law, Jurisdiction, and ODR

These Terms are governed exclusively by the laws of the Italian Republic, without prejudice to mandatory consumer-protection provisions that apply in the Buyer's country of residence. The UN Convention on Contracts for the International Sale of Goods (CISG/Vienna Convention) is expressly excluded. For disputes with business customers, the exclusive place of jurisdiction is Torino, Italy. For disputes with consumer customers domiciled in the EU, jurisdiction may also lie in the courts of the consumer's country of habitual residence. We are willing to participate in alternative dispute resolution before a recognised Italian conciliation body.
